what the heck is "ASP.NET Web Matrix" ?

Yes it's basically VS.NET light - and it's only for ASP.NET development.
VS.NET is better overall, but you can't beat the price of web matrix: free!

What do you mean? Even VS.net2002 can do that (maybe you have that option on
[off by default] that shows placeholders instead of live server-side
controls?)
